Terms of Service & User Agreement

By accessing, using, or subscribing to the CardMate application ("CardMate," "the App," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the App.
These Terms apply to all users, including free users, paid subscribers, collectors, vendors, and business accounts.
1. Nature of the Service
CardMate is a data management and informational platform designed to help users track trading card inventory, pricing references, and trade-related data.
CardMate is not:
• A marketplace
• A broker or intermediary
• An escrow service
• A payment processor
• An authentication or grading service
All transactions, trades, purchases, or sales conducted using information from CardMate are performed solely at the user's own risk.
2. Data Ownership & License
2.1 User Data
You retain ownership of the raw data you input into CardMate, including inventory details, notes, and manually entered pricing.
2.2 CardMate Rights
By using the App, you grant CardMate a worldwide, perpetual, irrevocable, royalty-free license to:
• Store, process, analyze, and display your data
• Create anonymized or aggregated datasets
• Generate pricing models, analytics, insights, and platform improvements
CardMate owns all platform architecture, algorithms, pricing logic, aggregated and anonymized data, analytics outputs, and derived insights and market trends. No ownership rights are transferred to users in any CardMate intellectual property.
3. Data Accuracy, Availability & Loss
The App is provided on an "as is" and "as available" basis.
CardMate does not guarantee:
• Data accuracy
• Market correctness
• Continuous uptime
• Error-free operation
• Data retention or recovery
CardMate shall not be liable for:
• Data loss or corruption
• Pricing inaccuracies
• Sync failures
• Downtime or service interruptions
• Loss of business, revenue, or profits
• Reliance on incorrect or outdated information
Users are solely responsible for maintaining backups of any data critical to their operations.
4. Pricing, Valuation & Financial Disclaimer
All pricing, valuation, and market data displayed in CardMate is informational only.
CardMate does not:
• Guarantee card values
• Appraise cards
• Authenticate cards
• Grade cards
• Provide financial, investment, or trading advice
Users acknowledge that trading card values fluctuate and that all decisions made using CardMate data are made at their own discretion and risk.
5. Transactions & Third Parties
CardMate does not facilitate payments, shipping, dispute resolution, or tax handling. Users are solely responsible for:
• Payment methods
• Shipping and delivery
• Chargebacks and disputes
• Taxes, duties, and compliance
• Counterparty verification
CardMate bears no responsibility for disputes between users or third parties.
6. User Conduct
You agree not to:
• Use CardMate for fraudulent or unlawful activity
• Manipulate pricing data or market behavior
• Reverse engineer or scrape the platform
• Use bots, automation, or unauthorized scripts
• Share accounts or resell access
• Attempt to copy or replicate CardMate features or logic
CardMate reserves the right to suspend or terminate accounts at its sole discretion, with or without notice.
7. Intellectual Property
All content, software, workflows, branding, and functionality within CardMate are the exclusive property of CardMate. Users may not copy, modify, distribute, reverse engineer, create derivative works, or train competing systems using CardMate outputs.
8. Account Security
Users are responsible for maintaining the confidentiality of their login credentials. CardMate is not liable for unauthorized access caused by weak or shared credentials, or activity conducted under a user's account.
9. Subscriptions, Billing & Refunds
• Subscription fees are billed in advance
• Fees are non-refundable, except where required by law
• CardMate may change pricing with reasonable notice
• Failure to pay may result in suspension, downgrade, or termination
Upon cancellation or termination, CardMate may delete user data after a reasonable period and has no obligation to retain it indefinitely.
10. Termination
CardMate may suspend or terminate access for breach of these Terms, abuse of the platform, non-payment, or legal or regulatory requirements. Termination may result in loss of access to stored data.
11. Limitation of Liability
To the maximum extent permitted by law, CardMate shall not be liable for any indirect, incidental, special, or consequential damages. Total liability, if any, shall not exceed the total subscription fees paid by the user in the preceding 12 months.
12. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.
13. Changes to These Terms
CardMate reserves the right to update these Terms at any time. Continued use of the App constitutes acceptance of the updated Terms.
14. Acceptance of Terms
By creating an account, using the App, checking an acceptance box, or completing a subscription payment, you acknowledge that you have read, understood, and agreed to these Terms of Service.
